**Washington, D.C.** – U.S. Steel and Japan’s Nippon Steel filed a lawsuit Monday against the U.S. government, challenging President Biden’s decision to block their proposed merger on national security grounds. The companies allege the review process was politically motivated and that the administration’s claims are false.
President Biden blocked the merger last week after a government panel failed to reach a decision. He cited concerns about maintaining a strong, domestically owned steel industry. The lawsuit, filed in federal court, accuses the President and senior administration officials of corrupting the review process for political gain, ultimately harming American steel workers and the industry.
The companies are seeking a new review by the Committee on Foreign Investment in the United States (CFIUS). They also filed a separate lawsuit against Cleveland-Cliffs, a competing American steel company, its CEO Lourenco Goncalves, and United Steelworkers International President David McCall, alleging illegal collusion to sabotage the deal.
While the legal action is considered a long shot, given the President’s broad authority and the lack of precedent for overturning such decisions, the companies argue that the national security concerns are pretextual and that the political climate influenced the outcome.
