**Helsinki, Finland – September 19, 2024** – Onni Bidco Oy, a consortium formed by CapMan Growth Equity Fund III Ky, Innofactor founder Sami Ensio, and Osprey Capital Oy, has successfully completed its voluntary recommended public cash tender offer for all shares in Innofactor Plc. The consortium has acquired a majority stake in the Finnish IT services company, representing approximately 81% of the Shares and voting rights.
The offer period concluded on September 16, 2024, with 18,288,674 Shares tendered, representing approximately 51.10% of the Shares. This, combined with shares acquired prior to and during the offer period, surpassed the initial threshold required for completion.
Although the Offeror initially set a minimum acceptance condition of more than 90% of the Shares, it waived this requirement and declared the Tender Offer unconditional.
As part of the agreement, Onni Bidco will pay the offer price of [insert offer price] to each shareholder who accepted the Tender Offer by October 10, 2024.
To provide shareholders who did not accept the initial offer a further opportunity, Onni Bidco has announced a subsequent offer period, starting September 19, 2024, and ending on October 3, 2024. During this period, shareholders can still accept the offer, with the offer price payable by October 10, 2024.
