Thu Sep 12 13:38:56 UTC 2024: ## Altius Minerals Subsidiary ARR to Be Acquired for C$162 Million

**ST. JOHN’S, Newfoundland and Labrador** – Altius Minerals Corporation (TSX: ALS; OTCQX: ATUSF) announced today that its subsidiary, Altius Renewable Royalties Corporation (ARR), will be acquired by an affiliate of Northampton Capital Partners, LLC for C$162 million.

Under the terms of the agreement, Northampton will acquire all of ARR’s outstanding common shares, except those held by Altius, for C$12 per share. The transaction is expected to close in the fourth quarter of 2024, subject to customary closing conditions.

Following the acquisition, ARR is expected to be delisted from the TSX and cease to be a reporting issuer. Altius will retain a 57% ownership stake in ARR, while Northampton will hold the remaining 43%.

The transaction does not affect ARR’s 50% joint venture interest in Great Bay Renewables.

Altius’s strategy is to generate growth through its diverse portfolio of royalty assets, which are tied to long-life, high-margin operations. This strategy aligns with global sustainability trends, including the transition from fossil fuels to renewable energy sources, electric transportation, and reduced emissions in steelmaking. Altius holds significant exposures in commodities such as copper, renewable electricity, battery metals (lithium, nickel, and cobalt), clean iron ore, and potash.

In addition to its royalty business, Altius operates a Project Generation business that sources mineral projects for sale to developers in exchange for equity positions and royalties.

This announcement comes as Altius continues to expand its footprint in the clean energy and sustainable resources sector, positioning itself as a leader in the transition to a low-carbon future.
