**New York, NY** – In a move that will reshape the advertising landscape, Omnicom and Interpublic Group, two of the world’s largest advertising agencies, announced a $30 billion-plus merger on Monday. The deal, a stock-for-stock transaction, will create the world’s largest advertising agency with combined annual revenue of nearly $26 billion.
The merger unites the creators of iconic campaigns such as “Got Milk,” “Priceless” (Mastercard), “Because I’m Worth It” (L’Oréal), and “Think Different” (Apple). While the company names may be less familiar to the public, their impact on marketing is undeniable.
The combined entity will operate under the Omnicom name and “OMC” ticker symbol. Omnicom CEO John Wren stated that the merger is a strategic response to the evolving advertising industry, particularly the rise of tech giants like Google and Amazon, and the increasing use of AI-powered advertising tools. Wren emphasized that this move will allow the new entity to “accelerate innovation” and control its future in the face of rapid technological change.
The merger is expected to generate $750 million in annual cost savings. JPMorgan analyst David Karnovsky noted the deal’s positive implications for the industry, citing the need for consolidation and the upcoming investment cycle in generative AI. He also highlighted the combined company’s strong position across various advertising and marketing sectors.
The deal, however, is subject to shareholder and regulatory approval. A similar attempt by Omnicom and Publicis Groupe in 2013 failed due to regulatory hurdles. This time, the merger faces potential scrutiny given the combination of the third and fourth largest ad buyers globally.
Following the announcement, Interpublic shares surged 10 percent, while Omnicom shares dipped more than 6 percent. The transaction is expected to close in the second half of 2024. Omnicom shareholders will own 60.6 percent of the combined company, while Interpublic shareholders will own the remaining 39.4 percent. John Wren will remain chairman and CEO, with Philippe Krakowsky and Daryl Simm of Interpublic serving as co-presidents and chief operating officers.
