**MILWAUKEE, WI – September 23, 2024** – Calm Waters Partnership (“Calm Waters”) has announced the acquisition of a substantial stake in Fiddlehead Resources Corp. (“Fiddlehead”). On September 3, 2024, Calm Waters exchanged 5 million previously acquired subscription receipts of 1487477 B.C. Ltd., a wholly owned subsidiary of Fiddlehead, for 5 million common shares and 5 million warrants of Fiddlehead.
This exchange gives Calm Waters an 8.00% stake in Fiddlehead on a non-diluted basis, and a 17.00% stake on a partially-diluted basis assuming the exercise of all warrants.
The transaction was completed for a purchase price of CAD $1 million.
