Tue Sep 10 15:07:00 UTC 2024: ## APA Infrastructure Announces Pricing Terms for Cash Tender Offer of Senior Notes

**SYDNEY, Sept. 10, 2024** – APA Infrastructure Limited, the borrowing entity of APA Group Limited, has announced the pricing terms for its previously announced tender offer to buy back all outstanding 4.200% Senior Guaranteed Notes due 2025.

The tender offer, which expires at 5:00 PM New York City time today, aims to repurchase these notes at a price determined by the Fixed Spread for the Securities plus the yield to maturity based on the bid-side price of a U.S. Treasury Reference Security. The company will also pay accrued interest on the notes up to the settlement date, expected to be September 16, 2024.

Holders of the Securities must tender their notes prior to the Expiration Deadline to be eligible for the purchase price. They can also withdraw their tender at any time prior to the Withdrawal Deadline, which is also 5:00 PM New York City time today.

The company’s obligation to accept the notes is contingent on the successful completion of a concurrent offering of new USD-denominated senior guaranteed debt securities. The company reserves the right to extend the deadlines, modify or terminate the offer, or amend the terms in any way.

APA Infrastructure has retained J.P. Morgan Securities LLC and Merrill Lynch International as dealer managers for the tender offer, and Global Bondholder Services Corporation as the information and tender agent.
